How to read this, and what it can’t tell you
  • Sources. Insiders: SEC Form 4, filed within two business days of a trade. Big holders: SEC Schedules 13D and 13G, filed when a holder crosses 5%. Congress: Periodic Transaction Reports published by the Clerk of the House, filed up to 45 days after a trade. All public record.
  • Filings are late by design. The dates shown are the trade date and the filing date. This page shows what has been filed, not what is happening now.
  • What is flagged. Large: an insider purchase of $250K+ or sale of $1M+. Cluster: 3 or more different insiders trading one stock. Pre-planned: a sale made under a Rule 10b5-1 plan set up in advance.
  • Insiders sell for many reasons (taxes, a house, diversifying), so selling alone is a weak signal. Buying with their own money on the open market is the stronger one.
  • Congress amounts are ranges by law, never exact figures, so the totals here are a range too. Scanned paper filings cannot be read automatically and are missing.
  • Where two records agree it is a reason to read the filing, not a recommendation. Informational only; do your own diligence.
